1. Purpose
The AfterSolves Partner Program allows approved individuals and businesses to collaborate with AfterSolves by providing professional services, referring customers, or participating in projects managed by AfterSolves. This Agreement establishes the rights, responsibilities, payment structure, ownership of work, confidentiality obligations, and legal relationship between the parties.
2. Independent Contractor Relationship
The Partner is an independent contractor. Nothing contained in this Agreement shall be interpreted as creating employment, employer-employee relationship, agency, franchise, joint venture, legal partnership, or representative authority. The Partner has no authority to bind AfterSolves in any agreement.
3. No Salary or Employee Benefits
The Partner acknowledges and agrees that participation in the Partner Program does not create employment. Accordingly, the Partner shall not receive monthly salary, hourly wage, fixed income, EPF contributions, SOCSO contributions, EIS contributions, paid annual leave, medical leave, insurance, medical benefits, bonuses unless expressly approved, employee allowances, overtime payments, holiday pay, or severance compensation. The Partner shall only receive commissions or payments specifically described in this Agreement.
4. Eligibility
To participate, the Partner must be at least eighteen (18) years old, have the legal capacity to enter into contracts, provide accurate information to AfterSolves, maintain professional conduct, and comply with Malaysian laws. AfterSolves reserves the right to approve or reject any application without providing reasons.
5. Non-Exclusive Appointment
This appointment is non-exclusive. AfterSolves may appoint unlimited Partners, agencies, freelancers, or contractors at any time. The Partner has no exclusive rights over any territory, industry, customer, or service.
6. Services
Partners may perform services including but not limited to: Logo Design, Graphic Design, Website Content, SEO, Digital Marketing, Social Media Marketing, Copywriting, Branding, Video Editing, Motion Graphics, Photography, Illustration, UI/UX Design, Advertising, Printing Design, Animation, and other approved creative or technical services. Assignment of work remains solely at the discretion of AfterSolves.
7. No Guaranteed Work
Participation in the Program does not guarantee any projects, referrals, customers, revenue, or minimum income. AfterSolves may assign projects to any Partner or complete them internally.
8. Commission Structure
A. AfterSolves Managed Projects
Where a client purchases services through AfterSolves and the Partner performs only the assigned portion of work — AfterSolves: 85%, Partner: 15%. Example: Project value RM1,000; Partner receives RM150.
B. Referral Commission
If the Partner introduces a new client who purchases eligible services from AfterSolves, the Partner shall receive a referral commission of 10%. Referral commission is payable only after full payment has been received from the client, no refund has been issued, and the project has commenced or been completed at the Company's discretion.
C. Discretionary Performance Bonus
AfterSolves may award additional bonuses for exceptional performance. Such bonuses are voluntary and may be modified or withdrawn at any time.
9. Payment Terms
Payments shall only be processed when the client has paid all outstanding invoices in full, the work has been accepted by AfterSolves, no dispute exists, and all required deliverables have been submitted. Payment may be delayed if client payment is overdue, work requires revisions, fraud is suspected, or copyright issues arise.
10. Taxes
The Partner is solely responsible for Income Tax, SST (if applicable), business registration obligations, and any statutory obligations under Malaysian law. AfterSolves shall not be responsible for the Partner's tax liabilities.
11. Client Ownership
All customers introduced to, managed by, invoiced by, or serviced through AfterSolves remain the exclusive customers of AfterSolves. The Partner acquires no ownership rights over any customer.
12. Non-Circumvention
The Partner agrees that during this Agreement and for twenty-four (24) months after termination, the Partner shall not solicit any AfterSolves client directly, accept work from an AfterSolves client outside the Company without written approval, divert customers, encourage customers to terminate their relationship with AfterSolves, or offer competing quotations directly to Company clients. Any breach shall constitute a material breach of this Agreement.
13. Confidentiality
The Partner shall keep strictly confidential all information relating to AfterSolves, including but not limited to customer information, pricing, quotations, marketing plans, sales strategies, internal documentation, source files, credentials, financial information, technical documentation, and business operations. Confidential information shall not be disclosed without prior written consent. This obligation survives termination.
14. Intellectual Property
Unless otherwise agreed in writing, all work created under an AfterSolves project becomes the exclusive intellectual property of AfterSolves upon payment. The Partner irrevocably assigns all rights, title, and interest in such work to AfterSolves. The Partner may not reuse, sell, distribute, or license such work without written permission.
15. Portfolio Usage
The Partner may only display completed work in their portfolio after public release by the client and written approval from AfterSolves. AfterSolves may refuse approval at its sole discretion.
16. Quality Standards
Partners shall deliver original work, meet deadlines, maintain professional quality, follow project specifications, communicate respectfully, and cooperate with revisions. Repeated failure to meet standards may result in suspension or termination.
17. Revisions
Reasonable revisions requested by AfterSolves must be completed without additional charge unless otherwise agreed.
18. Delays
If the Partner fails to meet agreed deadlines without reasonable justification, AfterSolves may reassign the work, reduce payment, cancel the assignment, or remove the Partner from future projects.
19. Refunds and Chargebacks
If a client receives a refund, chargeback, or compensation due to the Partner's actions, negligence, poor workmanship, plagiarism, or breach of this Agreement, AfterSolves may withhold commissions, offset future commissions, recover losses from the Partner, or suspend future payments.
20. Code of Conduct
The Partner shall not misrepresent AfterSolves, damage the Company's reputation, use abusive language, discriminate against customers, share confidential information, engage in fraudulent conduct, or violate applicable laws.
21. Suspension
AfterSolves may suspend a Partner immediately if it reasonably believes the Partner has violated this Agreement, engaged in misconduct, damaged customer relationships, breached confidentiality, or submitted fraudulent work. During suspension, payments may be withheld pending investigation.
22. Termination
AfterSolves may terminate this Agreement at any time, with or without cause, by providing written notice. Immediate termination may occur for serious misconduct, including but not limited to fraud, theft, client solicitation, or repeated breaches. Termination does not affect any accrued rights or obligations.
23. Limitation of Liability
To the fullest extent permitted by Malaysian law, AfterSolves shall not be liable for any indirect, incidental, consequential, or special damages arising from participation in the Program. The maximum liability of AfterSolves shall not exceed the amount of commission payable to the Partner for the specific project giving rise to the claim.
24. Indemnity
The Partner agrees to indemnify and hold harmless AfterSolves from any claims, losses, damages, liabilities, costs, or legal expenses arising from the Partner's negligence, breach of this Agreement, intellectual property infringement, misconduct, or violation of law.
25. Amendments
AfterSolves reserves the right to modify this Agreement at any time. Updated versions shall become effective upon publication or written notification. Continued participation constitutes acceptance of the revised Agreement.
26. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Any disputes shall first be resolved through good-faith negotiation. If unresolved, the parties submit to the exclusive jurisdiction of the courts of Malaysia.
27. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, governmental actions, cyberattacks, power failures, or telecommunications outages.
28. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, discussions, representations, or understandings relating to the Partner Program.
29. Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
30. Waiver
Failure by AfterSolves to enforce any provision shall not constitute a waiver of its rights.
31. Assignment
The Partner may not assign or transfer any rights or obligations under this Agreement without prior written consent from AfterSolves. AfterSolves may assign this Agreement without restriction.
32. Acceptance
By signing below, the Partner confirms that they have read, understood, and voluntarily agree to be legally bound by this Agreement.
